1. Introduction

Welcome to Amador (Amador Pty Ltd ACN 692 891 277) (“Amador”, “we”, “us”, or “our”). These Terms & Conditions (“Terms”) govern your access to and use of our website, platform, and services (collectively, the “Services”). By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, please discontinue use immediately.

We reserve the right to amend these Terms at any time. Changes will be posted on this page with the updated date. Your continued use of the Services constitutes acceptance of any changes.

2. Scope of Agreement

  • Amador provides a platform facilitating Brand and Ambassador connections, collaborations, community, and a user-generated content (UGC) marketplace.
  • These Terms form a binding contract between you (the Brand or Ambassador) and Amador.
  • By registering, purchasing, or using our Services, you confirm that you have the legal capacity and authority to enter into this Agreement.

3. Eligibility & Registration

  • Age Requirement: You must be at least 18 years old to use our Services.
  • Account Registration: To access certain features, you must create an account, providing accurate and current information.
  • Account Security: You are responsible for maintaining the confidentiality of your account credentials and all activities under your account.
  • Single Account Policy: Each user may register only one account. Multiple accounts may result in suspension.
  • Account Suspension/Termination: We reserve the right to suspend, disable, or terminate your account at our discretion for any breach of these Terms.

4. License & Permitted Use

Amador grants you a platform to help Brands and Ambassadors enter into mutually beneficial social commerce interactions including trading digital assets in a UGC marketplace, joining a community forum, exchanging product reviews and feedback, and creating advertising and marketing campaigns.

You may not download, copy, or save content except as expressly permitted; use the website for commercial purposes or resale; or use the website for unlawful, harmful, or fraudulent purposes.

5. Acceptable Use Policy

You agree not to harass, abuse, or discriminate; submit false or misleading information; transmit viruses or malware; conduct automated data collection without written consent; or use data for unsolicited marketing.

6. Marketing Communications

By registering, you consent to receive communications from Amador regarding services, promotions, and offers. You may opt out at any time.

7. Third-Party Links

Our website may contain links to third-party websites. We do not endorse or assume responsibility for the content or practices of any third-party sites.

8. Warranties & Disclaimers

We do not warrant that the website or Services will be uninterrupted, error-free, or secure. All content is provided “as is” without warranty of any kind.

9. Limitation of Liability

To the maximum extent permitted by law, we are not liable for any loss or damage arising from your use of, or inability to use, the website or Services, including business losses, indirect, incidental, or consequential damages.

10. Indemnity

You agree to indemnify and hold harmless Amador, its officers, employees, and agents from any claims, damages, liabilities, costs, or expenses arising from your use of the Services or your breach of these Terms.

11. Privacy

Please refer to our Privacy Policy for details on how we collect, use, and manage your personal information.

12. Non-Circumvention

For 12 months after identifying an Ambassador through the platform, you must use Amador exclusively to request, make, and receive all payments for campaigns involving that Ambassador.

13. Pricing & Payment

  • All prices exclude GST for Australian addresses.
  • We reserve the right to change fees at any time without notice.
  • Payments are processed via Stripe.

14. Refund Policy

Due to the digital nature of our products, refunds are not available except where required by law (e.g., Australian Competition and Consumer Act 2010). You may cancel your subscription at any time; access will be revoked upon cancellation.

15. User-Generated Content (UGC) Marketplace

  • Ambassadors must be at least 18 years old and submit only original content.
  • Valid and accurate releases are required for assets featuring identifiable individuals or property.
  • Submission of false or incomplete releases may result in immediate account termination.

16. Asset License

Upon purchase, Brands receive a perpetual, worldwide, non-exclusive license to use the asset for commercial purposes. Amador and Ambassadors retain all other rights. Amador may resell assets and grant licenses to other Brands.

17. Acceptable Use of Purchased Assets

Purchased assets must not be used in any pornographic, obscene, defamatory, or unlawful manner, or in political endorsements or any context that portrays individuals negatively.

18. Copyright & Intellectual Property

All content on the website is owned by Amador or its licensors and protected by copyright and trademark laws. You are granted a limited license for personal use only. No content may be copied, modified, or used for commercial purposes without written permission.

19. Non-Payment by Clients

  • Ambassadors are paid only after Amador receives payment from Brands.
  • If a Brand fails to pay, their account may be suspended or terminated.
  • Overdue amounts accrue interest at 15% per annum, plus any recovery costs.

20. Dispute Resolution

In the event of a dispute, please contact us at hello@amador.app. We will attempt to resolve disputes through negotiation before litigation.

21. Governing Law & Jurisdiction

These Terms are governed by the laws of New South Wales, Australia. Any disputes are subject to the exclusive jurisdiction of the courts of New South Wales.
